Britam Insurance Tanzania Limited is seeking to recruit a qualified and experienced professional for the position of Company Secretary and Legal Manager based in Dar es Salaam. The successful candidate will be responsible for supporting the Chief Executive Officer in ensuring legal, regulatory, governance, and compliance requirements are effectively implemented across the business.
The role involves providing legal advisory services, company secretarial support, governance oversight, and compliance management while ensuring the organization remains compliant with applicable laws, corporate governance standards, and regulatory requirements. The position reports directly to the Chief Executive Officer with a functional reporting line to the Director Legal and Group Company Secretary.

Job Purpose
- Support implementation of legal, governance, and compliance policies and procedures
- Provide company secretarial services to the Board and Committees
- Ensure the organization remains compliant with laws, regulations, and governance standards
- Provide strategic legal support and compliance oversight to the business
Key Responsibilities
Legal Responsibilities
- Advise management on legal matters affecting the business
- Review legal cases and provide recommendations to management
- Research and interpret regulatory requirements for new products and services
- Support operational areas on regulatory compliance issues
- Provide legal opinions and legal risk management support
- Prepare agreements for appointment of advocates
- Negotiate out-of-court settlements to reduce legal costs
- Pursue recoveries involving insurance companies and third parties
- Approve payment of legal fees, judgments, and discharge vouchers
- Ensure safe custody of legal documents and company seals
- Provide legal advice related to business and product development
- Liaise with regulatory authorities including the Insurance Regulatory Authority (IRA)
- Ensure timely updates of legal operational records and reserves
- Respond to demand letters and support dispute resolution
- Liaise with external advocates on court matters
- Prepare weekly and monthly legal reports and presentations
Company Secretarial Responsibilities
- Advise the Board and Board Members on governance duties and responsibilities
- Coordinate Board meetings, Committee meetings, and Annual General Meetings
- Prepare and circulate Board minutes and resolutions
- Support Board approvals and corporate actions
- Maintain Board work plans, attendance records, and governance documentation
- Update company registers and ownership records
- Ensure annual returns are filed with relevant authorities
- Ensure safe custody of statutory documents
- Ensure compliance with the Companies Act, Memorandum and Articles of Association, and governance documents
- Work closely with the Group Head of Corporate Governance to maintain governance standards
- Advise the Board Chairperson and CEO on governance procedures and best practices
Compliance Responsibilities
- Ensure implementation of compliance programmes including AML, anti-bribery, counter-terrorist financing, sanctions, and data privacy
- Maintain updated knowledge of legal and regulatory requirements
- Work with EXCO to ensure business process compliance
- Coordinate with Risk and Internal Audit teams on compliance matters
- Compile and maintain compliance obligation registers
- Advise management on non-compliance risks and mitigation measures
- Evaluate effectiveness of compliance programmes and recommend improvements
- Work closely with the Group Head of Compliance to maintain high compliance standards

Required Qualifications and Experience
- Bachelor’s Degree in Law from a reputable university
- Postgraduate qualification in Law or business-related field is an added advantage
- Advocate of the High Court of Tanzania with a valid practicing certificate
- Minimum of six years post-admission experience
- Certified Company Secretary in good standing
- Experience in the insurance industry
