CRDB Bank Plc, a leading commercial bank in Tanzania listed on the Dar es Salaam Stock Exchange, invites applications from suitably qualified Non-Executive candidates for the position of Independent Director.
Definition of Independent Director
The candidate must:
• Not hold any executive or management position in the Bank
• Not hold directly or indirectly a significant interest (5% or more voting shares) in the Bank or its subsidiaries
• Not have been employed in an executive capacity by the Bank or its subsidiaries within the past three years
• Not be an immediate family member of an executive employee (past three years)
• Not serve as a professional advisor to the Bank
• Be free from business or other relationships that may impair independence
• Not receive performance-based remuneration
Required Expertise
In accordance with the Banking and Financial Institutions (Corporate Governance) Regulations, 2021, candidates must possess expertise in one or more of the following fields:
• Academia
• Banking
• Finance
• Accounting
• Auditing
• Law
• Economics
Desired Skills
• Mergers and acquisitions
• IT systems, data science, cyber security
• Trade and project finance
• Engineering
• Human capital management
Key Roles of the Board
• Determine and safeguard the Bank’s vision, mission, and values
• Approve and monitor strategy and performance
• Ensure compliance with laws and governance standards
• Oversee risk management and asset protection
• Appoint and evaluate the Managing Director
The name of the qualified candidate will be submitted to the Annual General Meeting for appointment in accordance with the Bank’s Memorandum and Articles of Association.
