Legal Manager - Contracts and Compliance

KCB Group is seeking a qualified and experienced legal professional to fill the position of Legal Manager - Contracts and Compliance. The role is responsible for providing legal advice, managing contractual matters, identifying legal risks and ensuring that the Bank operates in compliance with applicable laws, regulations and internal policies.

The successful candidate will work closely with business units, senior management and other stakeholders to review and negotiate contracts, provide legal opinions, manage legal risks and support the development of policies and procedures. The position also involves legal training, intellectual property management, statutory returns and reporting on contractual and legal risk matters.

Responsibilities

The successful candidate will be responsible for:

  • Reviewing laws, regulations, guidelines and pending Bills to advise the business on compliance requirements.

  • Ensuring compliance with applicable laws, regulations and internal policies.

  • Implementing the Legal Risk Management Framework and conducting internal legal audits.

  • Supporting departments in developing mitigating measures where legal risks are identified.

  • Tracking and closing outstanding legal audit issues.

  • Drafting, reviewing and negotiating vendor agreements, customer agreements, service contracts, NDAs, partnership agreements and procurement contracts.

  • Ensuring contracts meet the organisation's legal and business requirements.

  • Preparing legal risk reports for Senior Management and the Board.

  • Conducting legal risk analysis and providing legal support to projects.

  • Identifying contractual and legal risks and recommending appropriate mitigation measures.

  • Supporting the development and implementation of legal policies, procedures, templates and standard contractual documentation.

  • Assisting with contractual disputes and supporting dispute-resolution processes.

  • Providing legal support in drafting and reviewing Bank policies, product terms and conditions.

  • Keeping up to date with legislation, proposed Bills, legal best practices and market trends affecting banking operations.

  • Reviewing, revising and preparing contract documents, including Start-up Agreements, Service Agreements, Master Service Agreements and amendments.

  • Maintaining contract records and statistics and advising on contract expiry, renewal and associated risks.

  • Conducting legal awareness training and branch visits.

  • Filing statutory returns with relevant government authorities.

  • Managing intellectual property matters, including service marks, trademarks and logos for KCB Group.

  • Handling disputes involving intellectual property infringement and copyright matters.

  • Preparing periodic reports on contract status, key metrics and legal risk assessments.

  • Using analytics to identify trends and opportunities for improving contract management processes.

Daily Responsibilities

The role will also involve:

  • Responding to legal correspondence.

  • Responding to internal customer queries.

  • Attending meetings with stakeholders.

  • Conducting legal research and preparing legal opinions.

  • Vetting and drafting contracts and leases.

  • Providing advice on contract law and commercial terms.

  • Supporting contract negotiations and resolving legal issues.

  • Managing multiple legal matters and priorities within required deadlines.

Other Duties

The Legal Manager will:

  • Support the Head of Legal and Company Secretary as requested.

  • Participate in CSR activities.

  • Train branch staff and staff at the Leadership Centre.

  • Prepare and facilitate staff training on legal matters affecting the Bank.

  • Disseminate relevant legal and regulatory requirements to various departments.

  • Perform any other duties assigned by the Head of Legal Services.

Qualifications Required

Applicants should have:

  • A Bachelor's Degree in Law (LLB).

  • Specialisation or relevant knowledge in Contract Law, Company Law, Intellectual Property Law, Land Law, Capital Markets and Corporate Law.

  • Diploma in Law.

  • A Master's Degree in Law (LLM) will be an added advantage.

Experience Required

Candidates should have:

  • A minimum of 4 years of relevant professional experience.

  • Strong knowledge of contract law and commercial terms.

  • Experience in drafting, reviewing and negotiating contracts.

  • Experience identifying and managing legal and contractual risks.

  • Experience providing legal advice to business stakeholders.
