NMB Bank Plc is inviting applications from qualified legal professionals for two positions of Legal Counsel in Dar es Salaam. The role focuses on providing specialized legal support across credit, lending, security documentation, and related banking transactions while helping the bank manage legal and regulatory risks.
The successful candidates will draft and review lending and security documents, provide legal opinions to business units and credit committees, coordinate the perfection and registration of securities, and support the bank in legal and regulatory matters. The position also involves working with branches, external counsel, regulators, courts, and other stakeholders to protect the bank’s interests while supporting business growth.
Responsibilities

Draft, prepare, and review security documents and lending-related contracts.

Ensure lending documentation is legally sound and complies with applicable regulatory requirements.

Coordinate and monitor registration of security documents with relevant authorities.

Maintain accurate records and tracking systems for registered securities.

Prepare periodic and ad-hoc reports on security registration and documentation status.

Provide timely and well-reasoned legal opinions to business units, branches, and internal credit committees.

Support the Legal Manager and Senior Manager in handling high-value transactions and regulatory compliance matters.

Advise business units on legal risks arising from lending transactions.

Recommend appropriate strategies to mitigate legal and regulatory risks.

Verify and acknowledge receipt of security documents submitted for safe custody.

Ensure proper filing, safe custody, and retrieval of security documents in accordance with internal policies.

Liaise with branches, external counsel, and relevant departments to resolve outstanding security registration issues.

Follow up on post-registration returns and ensure proper custody of security documents.

Respond promptly to legal and documentation queries raised by internal stakeholders.

Provide updates on the legal status and perfection of security documentation.

Facilitate the discharge of security documents following loan settlement.

Manage transfers under power of sale in accordance with applicable legal requirements and internal mandates.

Prepare periodic and ad-hoc reports covering documentation status, compliance, completed tasks, and legal risks.

Support internal and external audits and regulatory inspections by providing accurate documentation and records.

Prepare court pleadings and represent the bank before courts of law and tribunals.

Monitor developments in banking laws, regulations, and legal best practices.

Advise the bank on actions required to comply with changes in the regulatory framework.

Undertake additional legal assignments and special projects as directed by the Head of Legal or Legal Directorate.
Qualifications and Requirements

Bachelor’s Degree in Law (LL.B).

Must be enrolled as an Advocate.

Minimum of 3 years of experience in a dynamic and fast-paced commercial legal environment.

Sound knowledge of general banking law and commercial law.

Strong understanding of corporate and commercial lending transactions.

Knowledge of regulatory requirements affecting lending, security creation, and documentation.

Demonstrated ability to draft, review, and interpret lending-related legal documents.

Strong ability to identify legal risks within credit processes and recommend appropriate mitigation measures.

Ability to provide timely, practical, and commercially sound legal advice.

Ability to manage multiple assignments in a dynamic and fast-paced environment.
