1. Non-Executive Director (Board Member)

DCB Commercial Bank is seeking a highly qualified professional to join its Board as a Non-Executive Director. The successful candidate will work closely with the Board and management team to provide strategic oversight, governance leadership, and independent judgment on key matters affecting the bank.

Key Duties and Responsibilities

The Non-Executive Director will play an essential role in guiding the strategic and governance direction of the bank. Key responsibilities include:

  • Providing leadership and strategic guidance in collaboration with the bank’s management team.
  • Facilitating the establishment and strengthening of effective corporate governance structures for bank operations.
  • Reviewing and approving key governance policies, annual budgets, and significant expenditures proposed by management.
  • Ensuring strategic risks are properly identified and that strong internal controls are implemented to mitigate operational risks.
  • Monitoring corporate performance regularly to ensure the bank’s strategic objectives and operational plans are effectively implemented.
  • Reviewing and approving material transactions outside the bank’s normal course of business.
  • Reporting to shareholders annually as required under the bank’s Memorandum and Articles of Association.
  • Participating in decisions requiring shareholder approval during general meetings.
  • Selecting, monitoring, evaluating, and determining compensation for senior executives including the Managing Director and Internal Auditor.
  • Ensuring ethical conduct and compliance with financial regulations, auditing standards, and internal governance policies.
  • Evaluating the board’s effectiveness in fulfilling its governance responsibilities.
  • Performing other board functions required under laws and regulations issued by regulators such as the Bank of Tanzania and the Capital Markets and Securities Authority.

Person Specifications

Educational Qualifications

  • Bachelor’s degree in Banking and Finance, Economics, Audit, Business Development, Law, Human Resources, or related fields.
  • A postgraduate qualification in a business-related discipline will be an added advantage.

Experience Requirements

  • At least 10 years of experience as a director in a medium or large organization with a proven record of organizational transformation.
  • Minimum 3 years of experience serving as a board member or member of a board committee.
  • Experience serving on the board of a listed company will be an added advantage.
  • Strong understanding of financial management, investment strategy, regulatory compliance, and board governance.
  • Experience in banking or regulatory institutions will be considered beneficial.

Additional Requirements

  • Demonstrated ability to build and maintain professional networks beneficial to the organization.
  • Must not currently serve as a member of management or board of another financial institution whose license has been revoked, cancelled, or placed under liquidation.
  • No criminal record.
  • No history of bankruptcy, including related parties.
  • Clean credit record, including related parties.
  • Ability to dedicate sufficient time to attend board meetings and support strategic activities of the bank.
